The German B2B terms are authoritative.<\/strong><\/p>\n<p><strong>These terms apply only to business customers within the meaning of section 14 BGB, public-law entities and special funds under public law.<\/strong> Consumer orders are governed by separate consumer terms supplied by H\u00e4ndlerbund. Products marked \u201cB2B only\u201d are sold only to business customers, and suitable proof may be requested.<\/p>\n<h2>1. Contract and enquiries<\/h2>\n<p>The seller is Christian Satter, ToolParts-Group \/ ToolParts-Service, Kleinhaslach 35, 90599 Dietenhofen, Germany. Product displays are not binding offers. A contract is formed through our express acceptance, a payment request or dispatch. Enquiry baskets, price-on-request functions and general enquiries are non-binding, and those items cannot be purchased directly in the shop. We send a specific offer by email. The contract is formed only when the customer expressly accepts that offer by email within the stated period.<\/p>\n<h2>2. Prices and payment<\/h2>\n<p>Business prices are generally net plus applicable VAT unless stated otherwise. The offer, order confirmation and invoice are decisive.<\/p>\n<h2>3. Delivery and costs<\/h2>\n<p>Reasonable partial deliveries are permitted. Shipping and packaging are charged only once per order; subsequent deliveries from that order carry no additional shipping charge. Displayed charges may include freight, packaging, packaging participation, staff and warehouse costs, import costs and order-related ancillary costs.<\/p>\n<p>Unless expressly agreed otherwise, freight delivery is kerbside only, without carrying the goods into a building, and on a one-way pallet. For international carriage of goods by road, the CMR applies where its material and territorial scope is met.<\/p>\n<h2>4. Risk and title<\/h2>\n<p>Risk passes when the goods are handed to the carrier. Extended retention of title applies until all claims from the ongoing business relationship have been paid.<\/p>\n<h2>5. Inspection and defects<\/h2>\n<p>The buyer must inspect the goods under section 377 HGB and notify apparent defects without undue delay. The limitation period for defect claims concerning new goods is twelve months after delivery, subject to mandatory exceptions including injury, intent, gross negligence, fraud, express guarantees and statutory recourse.<\/p>\n<h2>6. Guarantees<\/h2>\n<p>JetTools.de \/ ToolParts-Group \/ ToolParts-Service does not provide an additional voluntary guarantee. Voluntary manufacturer guarantees are generally not advertised as a sales feature. Mandatory statutory information remains unaffected.<\/p>\n<h2>7. Special-order spare parts<\/h2>\n<p>This rule applies only to spare parts listed as enquiry items in the shop and identified as special-order items in the individual email offer. After the customer expressly accepts our offer, we procure those spare parts specifically from Asia, the USA or another third country, or arrange order-specific production.<\/p>\n<p>The contract is formed when the express email acceptance reaches us, and we may then release procurement or production. From that point, cancellation, exchange and voluntary return are excluded.<\/p>\n<p>The customer must carefully verify the item number, model, version, voltage and all other order characteristics. A complaint based solely on an incorrect customer selection does not create a return right. <strong>Statutory defect rights for goods that are defective or not in conformity at the transfer of risk remain fully unaffected.<\/strong><\/p>\n<h2>8. Voluntary returns outside defect rights<\/h2>\n<p>Business customers have no statutory right of withdrawal. Return of non-defective goods is voluntary and requires prior contact and our express approval. Statutory defect rights remain unaffected.<\/p>\n<p>Every incoming return is inspected and documented. Depending on the item, this includes identity and reference, completeness, serial numbers and labels, packaging condition, installation and use traces, function and visible transport damage.<\/p>\n<ul>\n<li>Special orders and specially procured goods are excluded.<\/li>\n<li>Approved returns travel at the customer&#8217;s cost and risk; original outbound packaging and delivery costs are not refunded.<\/li>\n<li>Electrical components, installed spare parts and used goods are excluded.<\/li>\n<li>Goods must be complete, undamaged and functional, in unchanged and undamaged item packaging bearing our labels.<\/li>\n<li>Documented loss in value and reconditioning effort caused by damaged item packaging may be deducted, depending on its extent, up to 30% of the goods value.<\/li>\n<\/ul>\n<p>Unless the return approval states otherwise, approved parcel returns must be sent to: <strong>ToolParts-Service Christian Satter, Zur Marter 7, 91580 Petersaurach (Gro\u00dfhaslach), Germany<\/strong>.<\/p>\n<p><strong>Pallet returns must not be sent unannounced to our head office.<\/strong> We provide the suitable return address and delivery appointment after approval.<\/p>\n<h2>9. Liability, law and venue<\/h2>\n<p>Liability remains unlimited for intent, gross negligence, injury to life, body or health, product liability and express guarantees. German law applies excluding the CISG.
